NTT、NTTデータグループを完全子会社化 2.3兆円規模
NTTは8日、NTTデータグループの完全子会社化を発表した。NTTはNTTデータグループ株式の57.73％を保有しているが、残りの42.27%を公開買付で取得予定。買付価格は1株4.000円で、約2.3兆円規模となる。

NTTでは、現在のNTTとNTTデータグループの資本関係の課題として、「親子上場に伴う利益相反」「複雑な意思決定プロセス」「経営資源投下に伴う双方株主への説明責任」などがあったとする。完全子会社化により、これらの課題を克服。NTTグループのグローバルソリューション事業の中核をNTTデータグループが担う体制を構築し、成長加速を狙う。
NTTデータグループは、NTTグループの中で法人向け事業を担う中核企業で、24年度の売上高は4.6兆円。DX・AI・データセンターなどに強みを持ち、長期的な成長を見込んでいる。成長市場であり、量子コンピューティングや光通信技術などの新技術や新事業の台頭と競争激化も見込まれ、資金流入やM&Aなども見込まれる。こうした環境下で、機動的な成長投資によるグローバルソリューション拡大に向け、完全子会社によりNTTグループとの連携を強化。意思決定の迅速化を図るとともに、コスト競争力を高めていくという。
NTTデータグループの今後の注力領域は、Digital & Experiences、Next-Gen Infra、Agentic AI。成長投資により、AIサービスやデータセンターなどの成長領域を強化。北米市場でのプレゼンス拡大などを目指す。また、NTTグループのR&D(IOWN・AI)などを組み合わせた新サービス開発加速や、法人事業の競争優位性強化などを狙う。
